1. Definitions

For the purpose of these Terms:

• Platform means the GarvFlow website, web application, APIs, AI systems, and related services.
• User means any individual or organization using GarvFlow.
• Company Account means a business account created by an organization.
• Subscription means any paid or trial access plan offered by GarvFlow.
• Content means all data, documents, files, text, images, PDFs, ZIP archives, bid documents, and other materials uploaded by users.
• AI Output means summaries, analyses, recommendations, eligibility assessments, bid drafts, reports, or any content generated by artificial intelligence through GarvFlow.

2. Eligibility

You may use GarvFlow only if:

• You are legally capable of entering into a binding agreement.
• You are authorized to act on behalf of your company where applicable.
• The information provided during registration is accurate and complete.
• You comply with all applicable laws and regulations.

GarvFlow is intended primarily for business users and organizations participating in procurement or tender processes.

3. Account Registration

To use certain features, you must create an account.

You agree to:

• Keep your account credentials secure.
• Maintain the confidentiality of your password.
• Notify us immediately of any unauthorized access.

You are responsible for all activities that occur under your account.

4. Company Profile

When creating a Company Profile, you may provide information such as:

• Company Name
• GST Details
• PAN
• Registration Details
• Business Categories
• Experience
• Certifications
• Contact Information

You confirm that all submitted information is accurate and that you have the necessary authority to provide it.

5. Subscription Plans

GarvFlow may offer multiple subscription plans, including free trials and paid plans.

Each plan may include different limits on:

• AI analyses
• Users
• Storage
• Monitoring frequency
• AI features
• Export capabilities
• Integrations
• Support

GarvFlow reserves the right to modify plan features, provided such changes comply with applicable law and do not unfairly affect existing subscribers.

6. Free Trial

GarvFlow may provide a 7-day free trial to eligible users.

The purpose of the trial is to allow users to evaluate whether the platform meets their business requirements.

GarvFlow reserves the right to determine eligibility for trial access and to modify or discontinue trial programs at any time.

7. Payments

Paid subscriptions are billed in advance according to the selected plan.

By purchasing a subscription, you agree to pay all applicable charges, taxes, and fees associated with your selected plan.

Failure to complete payment may result in suspension or termination of access to paid features.

8. Refund Policy

GarvFlow provides a 7-day free trial before requiring payment.

Because users have the opportunity to evaluate the platform during the trial period, all paid subscription fees are non-refundable, except where required by applicable law.

Users are encouraged to fully evaluate GarvFlow during the free trial before subscribing.

9. AI Services

GarvFlow uses Artificial Intelligence to assist users in:

• Tender Analysis
• AI Summaries
• Eligibility Checks
• Risk Detection
• Technical Bid Drafting
• Financial Bid Drafting
• Tender Matching
• Document Analysis
• Other AI-powered productivity features

AI-generated outputs are intended solely to assist users. They do not constitute legal, financial, engineering, procurement, compliance, or professional advice.

Users remain solely responsible for independently reviewing all AI-generated content before relying on it or submitting any tender, proposal, or bid.

GarvFlow does not guarantee that AI outputs are accurate, complete, error-free, or suitable for any specific purposes.

10. User Responsibilities

By using GarvFlow, you agree to:

• Use the platform only for lawful business purposes.
• Provide accurate and up-to-date information.
• Maintain the security of your account credentials.
• Review all AI-generated outputs before using or submitting them.
• Ensure that all uploaded documents belong to you or that you have the legal right to use them.
• Comply with all applicable procurement, tender, tax, and other relevant laws.

You are solely responsible for all activities performed through your account.

11. Tender Documents & Uploaded Content

Users may upload documents including but not limited to:

• Tender PDFs
• ZIP archives
• BOQ files
• Technical specifications
• Financial documents
• Drawings
• Supporting documents

You retain ownership of all documents that you upload. By uploading documents, you grant GarvFlow a limited, non-exclusive, revocable license to process those documents solely for the purpose of providing the requested AI services.

GarvFlow does not claim ownership of your uploaded documents.

12. AI Processing & Generated Content

GarvFlow processes uploaded documents using Artificial Intelligence to generate:

• Tender summaries
• Eligibility analysis
• Match scores
• Technical bid drafts
• Financial bid drafts
• Risk analysis
• Hidden clause detection
• Other AI-powered outputs

AI-generated content is intended to assist users and should always be independently reviewed.

GarvFlow does not guarantee that AI-generated outputs are free from errors, omissions, or inaccuracies. Users are solely responsible for verifying all information before relying on or submitting any AI-generated content.

13. Intellectual Property

GarvFlow, including its software, source code, branding, logos, user interface, AI workflows, databases, designs, documentation, and related materials, is the intellectual property of Garv Nexus or its licensors.

Except where expressly permitted, users may not:

• Copy
• Modify
• Reverse engineer
• Decompile
• Redistribute
• Resell
• License
• Create derivative works
• Use GarvFlow for developing a competing service

Nothing in these Terms transfers ownership of GarvFlow or its intellectual property to the user.

14. Acceptable Use

You agree not to use GarvFlow to:

• Violate any applicable law or regulation.
• Upload malware, viruses, or malicious code.
• Upload content that infringes another person's intellectual property rights.
• Attempt unauthorized access to GarvFlow systems or other users' accounts.
• Interfere with the operation, security, or availability of the platform.
• Misrepresent AI-generated outputs as official legal, financial, or government advice.
• Use automated tools to overload, scrape, or disrupt the platform without authorization.

GarvFlow reserves the right to suspend or terminate accounts involved in prohibited activities.

15. Confidentiality

GarvFlow understands that tender documents may contain confidential business information.

We take reasonable measures to protect uploaded data from unauthorized access.

However, users remain responsible for determining whether sensitive or confidential information should be uploaded to the platform.

Where required by law or a valid legal process, GarvFlow may disclose information to the appropriate authorities.

16. Data Security

GarvFlow uses reasonable technical and organizational measures to help protect user information, including:

• Secure authentication
• Encrypted communication where supported
• Access controls
• Infrastructure monitoring
• Backup and recovery procedures where applicable

While we strive to maintain a secure platform, no online service can guarantee absolute security. Users are responsible for protecting their own devices, passwords, and access credentials.

17. Third-Party Services

Your use of such integrated services may also be subject to the terms and privacy policies of those third parties.

GarvFlow is not responsible for the content, availability, or practices of third-party services.

18. Availability of Services

We aim to provide reliable access to GarvFlow; however, uninterrupted availability cannot be guaranteed.

The platform may experience temporary interruptions due to:

• Scheduled maintenance
• Security updates
• Infrastructure failures
• Internet connectivity issues
• Third-party service disruptions
• Events beyond our reasonable control

GarvFlow shall not be liable for temporary service interruptions.

19. Product Improvements

GarvFlow continuously improves its platform.

We may introduce, modify, replace, or discontinue features, AI models, integrations, or user interface elements from time to time.

Where practical, material changes affecting paid users will be communicated through appropriate channels.

20. Suspension and Termination

Garv Nexus reserves the right to suspend, restrict, or terminate any account, with or without prior notice where permitted by applicable law, if:

• These Terms are violated.
• Fraudulent or illegal activity is suspected.
• The platform is misused.
• Payment obligations remain unpaid.
• Unauthorized access attempts are detected.
• The security or stability of the platform is threatened.

Upon termination:

• Your right to access GarvFlow may immediately cease.
• Active subscriptions may end in accordance with these Terms.
• Certain information may be retained where required by law or for legitimate business purposes.

21. Limitation of Liability

To the maximum extent permitted by applicable law:

Garv Nexus and GarvFlow shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages arising from or related to:

• Use or inability to use the platform.
• AI-generated summaries or recommendations.
• Errors, omissions, or inaccuracies in AI outputs.
• Tender submission decisions.
• Loss of business opportunities.
• Loss of contracts.
• Loss of profits.
• Business interruption.
• Data loss.
• Third-party actions.
• Government procurement decisions.

GarvFlow is an AI-assisted software platform and does not guarantee the success of any tender, bid, procurement process, or commercial opportunity.

To the extent permitted by law, Garv Nexus's total liability for claims arising under these Terms shall not exceed the subscription fees paid by the user to GarvFlow during the three (3) months immediately preceding the event giving rise to the claim.

22. User Responsibility and Indemnification

You agree to defend, indemnify, and hold harmless Garv Nexus, its founders, employees, contractors, affiliates, and partners from any claims, damages, liabilities, losses, costs, or expenses arising from:

• Your use of GarvFlow.
• Violation of these Terms.
• Violation of applicable laws or regulations.
• Infringement of third-party rights.
• Documents uploaded by you.
• Information submitted by you.
• Tender submissions prepared or submitted using AI-generated content without appropriate review.

You remain solely responsible for verifying all information before relying upon or submitting it.

23. AI Disclaimer

GarvFlow provides AI-assisted analysis to improve productivity.

AI-generated outputs:

• Are generated automatically.
• May contain errors.
• May omit important information.
• May not reflect the latest legal or procurement requirements.

GarvFlow does not provide legal, engineering, tax, procurement, accounting, or financial advice.

Users must independently verify all outputs before making business or legal decisions. No AI-generated recommendation should be treated as a guarantee of tender eligibility, compliance, or success.

24. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the Republic of India, without regard to conflict of law principles.

25. Dispute Resolution

The parties agree to first attempt to resolve disputes through good-faith discussions.

If a dispute cannot be resolved amicably, it shall be subject to the exclusive jurisdiction of the competent courts located in Varanasi, Uttar Pradesh, India, unless otherwise required by applicable law.

26. International Users

GarvFlow may be used by customers located outside India.

International users are responsible for ensuring that their use of the platform complies with the laws and regulations applicable in their own jurisdictions.

Nothing in these Terms shall be interpreted as GarvFlow providing legal advice regarding international procurement, taxation, or regulatory compliance.

27. Changes to These Terms

Garv Nexus may revise these Terms from time to time.

When material changes are made, the updated Terms will be published on https://garvflow.com with a revised Effective Date.

Continued use of GarvFlow after updated Terms become effective constitutes acceptance of those changes.

29. Entire Agreement

If any provision of these Terms is held to be invalid or unenforceable under applicable law, the remaining provisions shall continue in full force and effect.

30. Acknowledgement

By creating an account, accessing, or using GarvFlow, you acknowledge that:

• You have read and understood these Terms.
• You agree to be legally bound by them.
• You understand that GarvFlow is an AI-assisted platform.
• Final responsibility for reviewing tender documents, preparing bids, and submitting any tender remains solely with you or your organization.
