1. Acceptance of Terms

By accessing or using Garv Flow ("the Platform"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Platform. These terms constitute a legally binding agreement between you and Garv Flow (a product of Garv Nexus).

2. Description of Service

Garv Flow is an AI-powered platform that helps businesses generate tender and RFP (Request for Proposal) responses. Users can upload past winning tender documents, and our AI will generate new bids in a similar style and format. The Platform includes features such as team collaboration, compliance checking, market intelligence, and bid usage tracking.

3. Account Registration

To use certain features of the Platform, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain the security of your password and account credentials.
• Notify us immediately of any unauthorized access or security breach.
• Be at least 18 years old to create an account.

4. Subscription and Payments

Garv Flow offers subscription-based plans. By subscribing:

• You agree to pay all applicable fees for your selected plan.
• Subscription fees are billed in advance and are non-refundable except as required by law.
• All payments are processed securely through Razorpay.
• You may upgrade, downgrade, or cancel your subscription at any time from your account settings.
• Cancellation takes effect at the end of the current billing cycle.
• For payment failures, contact official.garvnexus@gmail.com within 7 days.

5. User Content

You retain ownership of all documents, data, and content you upload to the Platform ("User Content"). By uploading User Content, you grant us a limited license to use, process, and store it solely for the purpose of providing our services to you. We will not:

• Sell or share your User Content with third parties.
• Use your User Content to train general AI models accessible to other users.
• Access your User Content except as necessary for service provision or legal compliance.

6. Prohibited Conduct

You agree not to:

• Use the Platform for any illegal or unauthorized purpose.
• Upload content that infringes on intellectual property rights of others.
• Attempt to gain unauthorized access to other users' accounts or data.
• Reverse engineer, decompile, or disassemble any part of the Platform.
• Use automated scripts or bots to access or interact with the Platform.
• Interfere with or disrupt the integrity or performance of the Platform.

7. Intellectual Property

All software, designs, logos, trademarks, and other content provided by Garv Flow are the property of Garv Nexus or its licensors and are protected by intellectual property laws. Generated bids are your property once created, subject to your subscription terms. You may not copy, modify, distribute, or create derivative works from our Platform without our express written permission.

8. Disclaimer of Warranties

The Platform is provided on an "as is" and "as available" basis. While we strive for accuracy, AI-generated bids should be reviewed by qualified personnel before submission. We do not guarantee that bids generated will win tenders or meet all specific requirements. We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of Liability

To the maximum extent permitted by law, Garv Flow and Garv Nexus shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, including lost profits, lost data, or business interruption. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Garv Flow, Garv Nexus, and their officers, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Platform, your User Content, or your violation of these Terms.

11. Termination

We may suspend or terminate your account and access to the Platform at any time, with or without notice, for any reason, including violation of these Terms. Upon termination, your right to use the Platform will immediately cease, and we may delete your data in accordance with our Privacy Policy.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in Varanasi, Uttar Pradesh, India.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through a notice on the Platform. Your continued use of Garv Flow after such changes constitutes your acceptance of the revised Terms.
